“User Content” – all materials submitted, uploaded, transmitted, or generated by users including text, property addresses, notes, drawings, architectural documents, PDFs, images, metadata, project information, and prompts.

“Chimera Content” – all content created or provided by Chimera including code, AI outputs, zoning summaries, designs, templates, software, UI, documentation, and all intellectual property.

“Third-Party Services” – services integrated or used through Chimera including mapping APIs, cloud storage, authentication tools, and external data sources.
4. Changes to the Terms
We may update these Terms at any time.
Material changes will be announced via email or on-platform notice.
Your continued use of the Service after updated Terms take effect constitutes acceptance.
5. Account Registration & Security
To access certain features, you must create an Account.
You agree to:

Account sharing is strictly prohibited.
We reserve the right to suspend or terminate Accounts for violations.
6. Subscription, Fees & Renewals
Chimera operates on a subscription model.
By subscribing, you agree to:

automatic renewal unless cancelled before renewal date

price adjustments on renewal, with at least 30 days’ notice
Refunds:
Refund availability is disclosed at checkout.
Unless explicitly provided, all fees are non-refundable once billed.
7. Payments
By providing payment details, you confirm you are authorised to use the payment method.
We may refuse or cancel transactions suspected of fraud or non-compliance.
We use third-party payment processors; their terms apply.
8. User Content – Ownership & Licence
You retain ownership of all User Content.
By submitting User Content to Chimera, you grant us a worldwide, royalty-free, non-exclusive licence to:

process
-
display
-
analyse
-
index
-
convert formats
-
use for AI model operations
-
provide, maintain, and improve the Service
We do not claim ownership of your drawings, architectural documents, or project data.
You are responsible for ensuring you own or have rights to all User Content you submit.
9. Uploaded Files (PDFs, Drawings, Images)
This clause applies even if uploads are not yet enabled.
If you upload files (e.g., architectural drawings, plans, PDFs, zoning documents, images):

You confirm you have the right to upload them.

You grant Chimera permission to store, process, analyse, convert, and display them.

You must not upload copyrighted materials without permission.

You must not upload malware, viruses, or malicious content.
Chimera may remove any uploaded content that violates these Terms.
10. Prohibited Use
You may not use the Service to:

violate any laws

upload or distribute illegal, harmful, or obscene content

reverse engineer, copy, or replicate the Service

evade payment obligations
-
interfere with Service operations
-
attempt to access restricted data or systems
-
use the Service for competing machine learning model training

misrepresent outputs as professional certification or guaranteed compliance
11. Intellectual Property
All Chimera Content, including text, code, AI systems, zoning interpretations, dashboards, UI, designs, graphics, and documentation, is owned exclusively by Chimera.
You receive a revocable, non-exclusive, non-transferable licence to access the Service.
You may not:

copy, modify, or distribute Chimera Content

use AI outputs to build competing systems

remove branding or notices
12. Third-Party Services & Data Sources
Chimera integrates tools such as:

AWS

Google Maps or Mapbox
-
authentication providers
-
zoning datasets
-
other APIs
We are not responsible for failures or inaccuracies caused by third-party services.
Your use of third-party tools is subject to their terms.
13. AI Disclaimer
Chimera uses artificial intelligence to produce summaries, insights, interpretations, and design suggestions.
You acknowledge and agree that:

AI outputs may contain inaccuracies or omissions
-
AI is not a certified planner, architect, engineer, or attorney
-
all outputs must be independently verified
-
Chimera does not guarantee correctness of zoning, permitting, or construction-related outputs
You assume full responsibility for relying on any AI-generated information.
14. No Professional Advice
The Service does not constitute:

legal advice

architectural advice
-
engineering certification
-
planning or permitting approval
All interpretations of zoning, building, fire, code, or local regulations are informational only.
Always consult qualified professionals.
15. DMCA & Copyright Policy
Chimera complies with the U.S. Digital Millennium Copyright Act (DMCA).

18. Termination & Suspension
We may suspend or terminate access if you:

fail to pay subscription fees

Upon termination:

19. Indemnification
You agree to indemnify and hold harmless Chimera and its officers, directors, employees, and agents from any claim arising from:

20. Limitation of Liability
To the fullest extent permitted by law:

Chimera is not liable for indirect, incidental, punitive, or consequential damages.

Chimera’s total liability shall not exceed the amount paid in the 12 months preceding the claim.

We are not liable for errors in AI-generated outputs.
Some jurisdictions do not allow certain limitations; those limits apply only where permitted.
21. Arbitration & Class Action Waiver
Any dispute arising from these Terms will be resolved through binding arbitration in Los Angeles, California, administered by the American Arbitration Association (AAA).
You waive the right to:

bring claims in a court (except small claims)
This clause survives termination.
22. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales.
However, Chimera complies with applicable consumer protection and data privacy laws in the United States, including the California Consumer Privacy Act (CCPA/CPRA).
The Service is operated by One Chimera Ltd (UK) and made available in the United States through its licensed subsidiary, One Chimera Inc. (Delaware).
23. Accessibility (ADA)
Chimera aims to meet WCAG 2.1 AA accessibility standards.

24. Severability
If any provision is found invalid, the remaining provisions remain enforceable.
25. Entire Agreement
These Terms constitute the entire agreement between you and Chimera regarding the Service.

You may not assign your rights under these Terms.
Chimera may assign its rights as part of mergers, acquisitions, or restructuring.
28. Survival
The following sections survive termination:
Intellectual Property, User Content Licence, AI Disclaimer, Indemnification, Limitation of Liability, Arbitration, Governing Law, DMCA, and others that by nature must survive.
